Business Register is the only means to
obtain information about the life and
events related to any business, be it
a large or a small one.
Those who want to make queries and obtain
business-related information can apply
to the Business Registry of the relevant
Chamber of Commerce. Besides directly
accessing and enquiring the database,
it is also possible to obtain copies of
the documents written and filed; moreover,
the Registry also provides lists of businesses
divided by product groups, partnership/share
capital classes, number of personnel,
province or municipality.
The above-mentioned certificates have
a probative value with respect to the
information filed or registered in the
Business Register. Beside registration
certificates, certificates can be issued
attesting the filing of records or non-registration.
With a view to harmonising registration
certificates nationwide, certificates
are issued based on standard forms provided
by the relevant Ministry. They can be
divided into ordinary and business history
certificates, with the first ones attesting
the present business’ records, and
the second ones certifying both present
conditions and the business history over
time
Abridged
and unabridged registration certificates
Abridged Registration Certificates simply
attest the existence of the business,
thus making it possible to unambiguously
identify it and obtain basic legal information.
In fact, an abridged registration certificate
includes the business registration number
and date, its name and tax code, statutory
information and the business address.
Conversely, Unabridged Registration Certificates
include, beside basic identification information,
statutory, administrative and financial
information, including a description of
the business activity, its local units
and the name(s) of person(s) holding offices
within the company. This type of certificates
offers a full “picture” of
any business.
Registration certificates include certificates
attesting the existence of local units
and branches.
Special
Certificates
In order to obtain special certificates,
applicant must briefly indicate, in their
requests, what data said certificates
should contain. For instance, it is possible
to certify that a business is not being
wound up, is not bankrupt, has not entered
into a composition with creditors, nor
is it in receivership. Moreover, certificates
can be issued attesting a business ownership
structure, including the list of partners/shareholders
and any limited liability company transfer
of shares.
Business
History Certificates
Beside a Business’ identification
data, Business History Certificates include
information concerning any deed and data
registered or filed in the Business Register,
as well as any change occurred over a
certain period of time.
Certificates can be requested concerning
the life of a business since its birth,
or only relating to specific periods of
time or records. Business History Certificates
provide more information than others,
as they include both past and present
records.
Certificates
of Filing
Certificates of Filing attest that documents
and forms relating to registration applications
or statements for the Repository of Economic
and Administrative Information (REA) have
been duly filed.
This type of certificates aim at proving
that the relevant documents concerning
a business have been duly filed, on a
given date, with the Business Register.
Non-Registration
Certificates
Non-Registration Certificates attest non-registration
of a business in the Business Register
of any given Province. They include basic
information about entrepreneurs or any
other entity about which a certification
and non-registration in the Business Register
are required.
